Ana Maria Machado Fernandes

Chairman of the Board of Directors since February 04, 2014, Ana Maria was Vice President of the Board of Directors since April 10, 2012 and had already been a member of the company’s Board of Directors since April 26, 2006.

Began her professional career in 1986 at Conselho -  Gestão e Investimentos, a company of Banco Português do Atlântico in the capital markets, investments, and corporate restructuring area.

In 1989, she took on functions in the Corporate Finance area of Sociedade de Investimentos EFISA and was subsequently made an Executive Director of Banco EFISA (S.G.Warburg/Sonae). In 1992, Fernandes joined the Banco de Fomento e Exterior group as Board member in the Investment Bank division and was Corporate Finance Director in BPI from 1996 to 1998.

In 1998, she joined Gás de Portugal as Strategic Planning and M&A Director, and in 2000 took over the functions of Business Portfolio Strategy and Management Director for Galp Energia – Petróleoa e Gás de Portugal (which resulted from the merger of Petrogal and Gas Portugal),  subsequently holding the post of Chief Executive Officer of Galp Power simultaneously with that of Board Member in Transgás, both companies part of the Galp Group. From 2004 to 2005 was an executive member of the Management Board of Galp Energia and from 2006 to 2012 member of Executive Management Board of EDP – Energias de Portugal, being as such responsible for the areas of natural gas and renewable of the Group from 2006 to 2008 and CEO of EDP Renováveis from 2008 to 2012 (established in December 2007 and made its IPO in June 2008).

In 2012 and 2013 was Chief Executive Officer of EDP Brasil.

In the academic area, she is a graduate in economics from the Porto School of Economics (1981/1986), post-graduate in Finance from the Porto School of Economics and an MBA from the same Porto School of Economics (1988/1989). She also worked as an Assistant at the Porto School of Economics from 1989 to 1991.

Miguel Nuno Simões Nunes Ferreira Setas

Chief Executive Officer of EDP Energias do Brasil since January 1st, 2014. Miguel was already part of the Company´s management since January 2008. Since February 04, 2014, Setas is also Vice President of the Board of Directors.

Initiated his career as a consultant for McKinsey & Co., being actively involved in the energy sector since 1998. Setas joined the EDP group in 2006 holding positions as manager for EDP Comercial, EDP Inovação, Portgás, and Fundação EDP. At the Galp Energia Group, he was director of Strategic Marketing and Manager of Lisboagás. He was also manager of CP - Comboios de Portugal and president of CP Lisboa.

Graduated in Physical Engineering and obtained his Master's Degree in Electrical and Computer Engineering from Instituto Superior Técnico in Lisbon. He also obtained an MBA from Universidade Nova de Lisboa.

Nuno Maria Pestana Alves

Board member since April 26, 2006. Member of the Audit and Compensation Committees.

Alves pursued a career in the Banco Comercial Português where he held a number of positions until 1999, when he was appointed president of the Board of Directors of CISF Dealer (the investment arm of Banco Comercial Português), and in 2000 assumed the position of Manager - Treasury and Market in what is currently known as Millenniumbcp Investimento (formerly Banco CISF).

Despite graduating in Engineering and Shipbuilding from the University of Michigan in 1980, Nuno Alves opted for a career in the administrative-financial area. He obtained an MBA in 1985 from the same university in which he graduated in engineering. Three years later he began his professional career as a technician in the studies and planning department of Banco Comercial Português.

Pedro Sampaio Malan

Independent board member since April 26, 2006. Chairman of the Sustainability and Corporate Governance Committee. Member of the Audit and compensation Committees.

Member of the Board of Directors of the companies Globex-Ponto Frio, EDP in Brazil, and OGX Petróleo e Gás Participações S.A. Member of the Advisory Board of Alcoa. Member of the Board of Trustees of the International Accounting Standards Committee Foundation. Former Chairman of the Board of Directors of Unibanco. A professor in the Department of Economics of Pontifícia Universidade Católica do Rio de Janeiro. Minister of Finance in the Federal Government  from 1995 to 2002. Governor of the Banco Central do Brasil between 1993 and 1994. Special Consultant and Chief Negotiator for External Debt Affairs - Ministry of Finance from 1991 to 1993. Executive Officer at the World Bank from 1986 to 1990 and from 1992 to 1993.

Graduated in Engineering in 1965 from Pontifícia Universidade Católica of Rio de Janeiro, with a PhD in Economics from the University of Berkeley, California.

Modesto Souza Barros Carvalhosa

An independent board member since September 14, 2005. Chairman of the Sustainability and Corporate Governance Committee and a member of the Audit Committee.

Carvalhosa is also a member of the Board of Trustees of Universidade Federal de São Carlos and of Fundação Padre Anchieta, the Board of Directors of Companhia Melhoramentos de São Paulo, and the São Paulo Stock Exchange's Arbitration Panel. He lectured as a professor in Commercial Law at São Paulo University (USP), acted as legal advisor to the São Paulo Stock Exchange, president of the Court of Ethics of the Brazilian Bar Association (OAB), São Paulo Chapter, and was chairman of its Constitutional Commission.

He graduated in Law from São Paulo University and has a PhD in Commercial Law and Economics from USP.

Francisco Carlos Coutinho Pitella

An independent board member since April 10, 2007. Chairman of the Audit Committee.

Pitella is chairman of the Board of Directors and director-general of Juruena Participações e Investimentos S.A., and president of the Investment Committee of Energia PCH Fundo de Investimento em Participações. He has a seat on the board of Companhia de Tecidos Norte de Minas - COTEMINAS and is representative in Brazil for Marc Rich Investment AG, Stratton Metals LTD. and Trafigura AG trading companies for minerals and metals imports and exports.

Previously Investor Relations Officer at GTD Participações S.A. and member of the Board of Directors and Fiscal Council of EDP Escelsa and Enersul. He held the post of director-general for South America at AIOC Corporation and Marc Rich Investment AG trading companies. A former director of Vale do Rio Doce Alumínio S.A. - ALUVALE and member of the Board of Directors of the companies Valesul Alumínio S.A. and Mineração Rio do Norte S.A., and of the Advisory Boards of Albras - Alumínio Brasileiro S.A. and  Alunorte - Alumina do Norte do Brasil S.A.
He graduated in Civil Engineering from the Escola Nacional de Engenharia of the Federal University of Rio de Janeiro (UFRJ).

Jorge Manuel Pragana da Cruz Morais

Independent board director since April 10, 2012. Member of the Sustainability and Corporate Governance Committee.

In 1983, he began his career at EDP in transportation network planning. From 1991 to 1994, he was advisor to the Board of Directors of EDP, having been coordinator of the restructuring process that culminated in the creation of the EDP Group in 1994. He was appointed Director of Strategic Planning and  responsible for coordinating the process of privatization (IPO and 2nd phase). Additionally, he was an non-executive member of the Board of Turbogás (1998-2000), non-executive member of the Board of Eletricidade dos Azores (1999-2000) and Director of the Center for Energy Conservation (1993-1996). Between 2000 and 2004, he was Executive Director of Oni SGPS and other companies of the Oni Group. Between 2002 and 2004 he carried on the duties CFO. In 2005 and until March 2006 he was Executive Director, with the functions of CEO at HC Energía and Naturgas Energia, Spanish companies, components of the EDP Group.

Morais graduated in Electrical Engineering from the Instituto Superior Técnico in 1980 and obtained an MBA from the Universidade Nova de Lisboa in 1989. 

Miguel Amaro

Vice President for Management Control since May 2008, Finance and Investor Relations since January 2009 and Distribution since January 2014. Since February 04, 2014, Amaro is member of the Board of Directors.

After graduating in mechanical engineering from Isel (Instituto Superior de Engenharia de Lisboa), Amaro joined EDP in Brazil following extensive professional experience in Portugal where he was director for Corporate Internal Audit from October 2003 to December 2007 for Portugal Telecom and prior to this in 2003 worked as an advisor to PT’s CEO Miguel Horta e Costa.

Prior to PT, Amaro also worked as a telecoms financial analyst at Espírito Santo B&M in Madrid from 2000 to 2002 and as an assistant at SETF (the State Secretariat for the Treasury and Finance) of the Ministry of Finance of the Portuguese government from November 1999 to September 2000.

Management Board

Carlos Emanuel Baptista Andrade

Vice-president of Commercialization since March 2013.

Andrade is economist graduated by the UFPE (Federal University of Pernambuco) and also concluded extension programs along the years, including, recently, the Program of Advanced Management of IESE, in Spain. He is fluent in English, French and Spanish.

He is in EDP Group for 7 years as Managing of Finances and Development of the Business, participating of important moments, as the opening of the capital of action of the company in the Stock exchange of São Paulo. Before EDP, Carlos Andrade developed his career in the financial market, worked 17 years in international banks in the areas of credit, corporative finances and investment banking. He lived more than a half of his banking career abroad, covering the Latin America market, including Caracas, City of Mexico and New York.

Luiz Otavio Assis Henriques

Vice President for Generation since May 2008.

Henriques began his career at CESP (Companhia Energética de São Paulo) in 1981 where he held the posts of technical manager for the Itapeva region, manager of Operations and Planning of Electrical Systems, commercial manager for the Atibaia region, manager of Planning and Control of the East Department, and Atibaia regional manager. Upon the creation of Elektro in 1998, he was appointed the company’s New Businesses manager. From 1999 to 2002, he was Enron's Trading and Risk officer in São Paulo. Back at Elektro, Henriques was manager for wholesale energy supply  and large customers until August 2005 when he was appointed commercial and wholesale energy supply director for the distributor and director of the commercializing company.

He graduated in electrical engineering from UNICAMP (State University of Campinas) in 1980. He has a post-graduate qualification in Energy Planning and the British Privatization Model from De Montfort University of Leicester in the United Kingdom.

Miguel Amaro

Vice President for Management Control since May 2008, Finance and Investor Relations since January 2009 and Distribution since January 2014. Since February 04, 2014, Amaro is member of the Board of Directors.
